Updated: To Be Held For The Annual Meeting - Co-op Bylaws Amendments for the Spring 2016 GMM

Update: No action was taken on this Bylaw Amendment due to the lack of a quorum at the Spring General Membership Meeting and Strategic Planning Retreat. It will be brought before the Membership at the fall Annual GMM.

Co-op Bylaws Amendments for the Spring 2016 GMM

The NNF Bylaws Committee Amendments set forth below reflect clarifications for memberships, dues and discounts. The Chair will also announce at the GMM that all memberships in good standing have the right to vote so to ensure that those who hold Student and Senior memberships are aware that they can vote and to encourage their participation in our democratic process.

Replace: (in Section 2.3) “equity share” with “membership”. 
Add: Section 2.4 Dues as moved from Article III - CAPITAL CONTRIBUTIONS.
Add: (in Section 2.4) “A lifetime membership is $100.00.”
Delete: (in Section 2.4) "during each succeeding calendar quarter after" and "each succeeding calendar quarter after the schedule of physical plant fund payments have been met. The first $10.00 will be due within the current quarter; the remaining $40.00 shall be payable at a rate of $10.00 each succeeding calendar quarter."
Re-number: Article II such that Sections 4 - 8 become Sections 5 - 9.
Delete: “Section 2.10 Pricing Policy The pricing policy of the Cooperative shall be set by the Board of Stewards. Pricing differentials for working members, non-working members, and non-members may be based upon a discount, a rebate, or a surcharge.” This section is to be renamed “Discount Policy” and moved to Article VIII - FISCAL CONTROL as Section 8.2.
Delete: Article III - CAPITAL CONTRIBUTIONS (as moved to Section 2.4).
Re-number: Such that Articles IV - X become Articles III - IX with each Section re-numbered in accordance with the new Article numbers.
Add: Section 8.2 Discount Policy The discount policy of the Cooperative shall be set by the Board of Stewards. The Board shall determine the minimum standard membership discount. Discount policy differentials may be based upon a membership discount, a rebate, or a surcharge.” to Article VIII - FISCAL CONTROL.

Re-number: Article VIII such that Sections 2 - 9 become Sections 3 - 10.


Secretary’s Announcement
The Board of Stewards has called for a Spring General Membership Meeting set for 9 a.m. Saturday, March 12th in conjunction with our Strategic Planning Retreat.  We are very happy to welcome back Sally Milbury-Steen as our meeting facilitator!
Members will share in the strategic planning process and conduct Cooperative business in the morning session. A noon-time meal will be catered by CafĂ© 67 and the Stewards will use the afternoon session to set the strategic goals.  Pre-registration for the meeting will be offered both online and in the store.
